Welcome to Incleon. These Terms of Service ("Terms") govern your access to and use of the Incleon website located at www.incleon.com (the "Website"). Please read these Terms carefully before using the Website.
By accessing or using the Website, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Website.
1. About Incleon
The Website is operated by Incleon Holdings Inc. ("Incleon," "we," "us," or "our"), a corporation incorporated under the laws of Ontario, Canada.
Incleon develops infrastructure for managing the continuity gap — the operational risk that emerges when senior leaders depart and when AI agents act on stale institutional knowledge. Our current products are Incleon Vantage (board-level key-person risk view) and Incleon Trueground (institutional-knowledge layer for AI agents). These Terms govern only your use of the Website. Your access to and use of either product is governed by a separate subscription or master services agreement.
2. Use of the Website
2.1 Eligibility. The Website is intended for use by businesses and individuals who are at least 18 years of age. By using the Website, you represent that you meet these requirements.
2.2 Permitted Use. You may use the Website to:
- Learn about Incleon's products and services;
- Evaluate or request a demo of our products;
- Access your Incleon account (if applicable);
- Contact Incleon for sales or support inquiries;
- Access documentation and resources; and
- Engage with any interactive features we may offer.
2.3 Prohibited Conduct. You agree not to:
- Use the Website for any unlawful purpose;
- Attempt to gain unauthorized access to any portion of the Website or its systems;
- Use any automated means to access the Website without our express permission;
- Interfere with or disrupt the Website or servers connected to it;
- Transmit any viruses, malware, or harmful code;
- Collect or harvest information about other users;
- Impersonate any person or entity; or
- Use the Website in any manner that could damage, disable, or impair our services.
3. Accounts
3.1 Account Creation. Certain features of the Website may require you to create an account. You agree to provide accurate and complete information when creating an account and to update this information as needed.
3.2 Account Security. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access to your account.

4.1 Ownership. The Website and its contents, including but not limited to text, graphics, logos, images, software, and documentation, are owned by Incleon or its licensors and are protected by copyright, trademark, and other intellectual property laws.
4.2 Limited License. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Website for its intended purposes. This license does not include the right to:
- Modify or copy the Website or its contents;
- Use the Website for commercial purposes without our consent;
- Remove any copyright or proprietary notices; or
- Transfer the materials to another person or "mirror" them on any other server.
4.3 Trademarks. "Incleon," "Incleon Vantage," "Incleon Trueground," and the Incleon logo are trademarks of 15998727 CANADA INC. You may not use these trademarks without our prior written consent.
5. Privacy and product agreements
Your use of the Website is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your information.
Your access to and use of Incleon Vantage, Incleon Trueground, or any other Incleon product is governed by a separate subscription or master services agreement. In the event of a conflict between these Terms and any product agreement with respect to the use of a product, the product agreement controls.
6. Third-party links
The Website may contain links to third-party websites or services. We do not control and are not responsible for the content, privacy policies, or practices of any third-party websites. Your use of third-party websites is at your own risk.
7. Disclaimers
7.1 "As Is" Basis. THE WEBSITE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
7.2 No Guarantee. We do not warrant that the Website will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
7.3 Informational Content. Information on the Website is provided for general informational purposes only and should not be relied upon as legal, financial, or professional advice. Descriptions of product capabilities, features, roadmaps, integrations, deployment models, and security or compliance posture appearing on the Website are summary in nature and are subject to the definitive terms set out in the applicable product agreement, technical documentation, and security overview.
8. Beta, demo, and interactive features
The Website may include demo environments, interactive product tours, sandboxes, beta features, or other features identified as preview, evaluation, or pre-release ("Demo Features"). Demo Features are provided for evaluation purposes only, may be modified or discontinued at any time without notice, may not represent final product behavior, and are not intended to be used with production data or for any business-critical purpose. Any data you submit into a Demo Feature should be considered non-confidential and may be deleted at any time.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, INCLEON SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATING TO YOUR USE OF THE WEBSITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE WEBSITE EXCEED ONE HUNDRED CANADIAN DOLLARS (CAD $100).
10. Indemnification
You agree to defend, indemnify, and hold harmless Incleon and its officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Website or your violation of these Terms.
11. Governing law and dispute resolution
11.1 Governing Law. These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles.
11.2 Dispute Resolution. Any dispute arising out of or relating to these Terms shall be resolved through binding arbitration administered by ADR Institute of Canada in Toronto, Ontario. You waive any right to participate in a class action lawsuit or class-wide arbitration.
12. Changes to terms
We may update these Terms from time to time. We will notify you of any material changes by posting the new Terms on the Website and updating the "Last updated" date. Your continued use of the Website after such changes constitutes your acceptance of the new Terms.
13. Termination
We reserve the right to suspend or terminate your access to the Website at any time, with or without cause, and with or without notice. Upon termination, your right to use the Website will immediately cease.
14. General provisions
14.1 Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Incleon regarding the Website.
14.2 Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
14.3 Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
14.4 Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.
